Terms of Service

Telori provides a managed AI receptionist that handles WhatsApp messages and phone calls on your behalf — answering questions, capturing leads, booking, and escalating to you when needed. The Service integrates with the WhatsApp Business Platform and third-party AI, voice, and infrastructure providers. We may add, modify, or remove features over time.

You must be a business or an individual acting on behalf of a business, at least 18 years old, and able to form a binding contract. The Service is for business use, not personal or household use.

You are responsible for the accuracy of the information you provide, for maintaining the security of your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

By onboarding a WhatsApp number and your customer communications to the Service, you represent and warrant that:

• You own or are authorized to use the WhatsApp number and to connect it to the Service, including via WhatsApp Coexistence.
• You have obtained all necessary consents and provided all required notices to your customers to allow their messages, phone calls, and personal data to be processed by the Service.
• You will comply with the WhatsApp Business Messaging Policy, Meta's Platform Terms, all applicable opt-in and consent requirements, anti-spam rules, and all applicable laws (including data-protection laws such as Brazil's LGPD and applicable laws in Chile and Mexico).
• The content and purpose of your messaging is lawful and not deceptive, harassing, or otherwise prohibited.

You are the controller of your customers' personal data; Telori acts as your processor as described in our Privacy Policy. A data processing addendum is available on request.

You may not use the Service to: send spam or unsolicited messages in violation of platform rules or law; transmit unlawful, infringing, harmful, or fraudulent content; impersonate others; attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; or violate any third-party rights or the terms of Meta or other integrated providers.

The Service relies on third parties, including Meta (WhatsApp Business Platform) and our AI, voice, payment, and hosting providers. Your use is also subject to their applicable terms, and we are not responsible for their acts, omissions, availability, or changes to their services or pricing.

• Fees are charged on a subscription basis according to the plan and tier you select, billed through our payment processor.
• Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled. You authorize recurring charges to your payment method.
• Fees are stated in the applicable currency and are exclusive of taxes unless noted; you are responsible for applicable taxes.
• Failed or overdue payments may result in suspension or termination. Except where required by law, fees are non-refundable.
• We may change pricing on prospective notice; changes take effect at your next renewal.

The Service uses automated AI systems that can produce inaccurate, incomplete, or unexpected output. The Service does not provide professional advice. You are responsible for supervising the Service, reviewing its output, and for any decisions or actions taken based on it.

We and our licensors own all rights in the Service, including software, models, and content we provide. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your business content and your customer data.

Each party will protect the other's non-public information disclosed in connection with the Service and use it only to perform under these Terms.

These Terms apply while you use the Service. Either party may terminate on notice as described in your plan. We may suspend or terminate access immediately if you breach these Terms, create risk or legal exposure, or fail to pay. On termination, your right to use the Service ends, and we will handle your data as described in the Privacy Policy.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or that output will be accurate or error-free, to the fullest extent permitted by law.

To the fullest extent permitted by law, Telori will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim.

You will indemnify and hold harmless Telori from claims, damages, and expenses arising out of your use of the Service, your content or messaging, your customers' data, or your breach of these Terms or applicable law.

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date, and continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of Chile, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the ordinary courts of Santiago, Chile, except where applicable law requires otherwise.
